I. Introductory Provisions

1. These general terms and conditions further define, in accordance with Section 1751 of Act No. 89/2012 Coll., the Civil Code, as amended, the mutual rights and obligations of the seller and the buyer in connection with contractual relationships concluded through the online store www.ecovolter.com (hereinafter also referred to as the "e-shop"). The provisions of the terms and conditions are an integral part of the purchase agreement.
2. The buyer is obliged to familiarize themselves with these general terms and conditions (hereinafter also referred to as "GTC") before placing an order for goods from the e-shop. By sending the order, the buyer confirms that they have read these general terms and conditions before concluding the contract and expressly agrees to them.
3. Deviant provisions from the terms and conditions can be agreed upon in the purchase agreement. Deviant agreements in the purchase agreement take precedence over the provisions of the terms and conditions.
4. The seller and operator of the e-shop is R-EVC s.r.o., ID: 05403570, VAT: CZ05403570, with registered office at Mokrá 317, Mokrá – Horákov, registered in the Commercial Register kept by the Regional Court in Brno, Section C, Insert 95171/KSBR (hereinafter also referred to as the "seller").
5. The seller reserves the right to change, supplement, or otherwise modify the wording of these GTC.

II. Definition of Basic Terms

1. A consumer is a natural person who, in concluding and performing a contractual relationship, does not act within the scope of their business or independent professional activity.
2. A consumer contract is a contract where one party is a consumer and the other party is a seller.
3. A natural person who is not a consumer is a person who, in concluding and performing a contractual relationship, acts within the scope of their business or independent professional activity.
4. A contract concluded by means of distance communication is a contract concluded by means of a means of distance communication (i.e., by means of a communication medium that allows the conclusion of a contract without the simultaneous physical presence of the contracting parties).

III. User Account

1. Through registration on the website, the buyer can create a user account (hereinafter also referred to as the "user account"). From their user account, the buyer can place orders for goods.
2. When registering on the website and when ordering goods, the buyer is obliged to provide all data properly and truthfully. The buyer is obliged to update the data provided in the user account in the event of any change. The data provided by the buyer in the user account and when ordering goods is considered correct by the seller, and the seller is not obliged to verify its correctness.
3. Access to the user account is secured by a username and password. The buyer is obliged to maintain confidentiality regarding the data necessary to access their user account and acknowledges that the seller is not responsible for the consequences of breaching this obligation. The buyer is not authorized to allow the use of their user account by third parties.
4. The buyer acknowledges that the seller is entitled to cancel any user account, especially if the buyer does not use their user account for an extended period or if the buyer violates their obligations arising from the purchase agreement or these terms and conditions or any other obligations stipulated by legal regulations.
5. The buyer acknowledges that the seller is entitled to limit the functionality or availability of the user account for the buyer, especially in connection with the resolution of technical complications and maintenance of the hardware and software equipment of the seller or persons managing such equipment for the seller.

IV. Information about Goods and Prices

1. The e-shop maintains a product catalog containing information about individual products, their prices, and main features. Any display of goods is always illustrative only.
2. The seller is a VAT payer, and therefore, the prices of goods are always stated including VAT.
3. The seller reserves the right not to conclude a purchase agreement regarding goods indicated as "currently unavailable" or "cannot be ordered."
4. The costs of delivering goods depend on the size and nature of the goods and on the price list of the carrier chosen by the buyer. The current delivery costs are stated in the order form. The final price, including the costs of the selected delivery method, will always be stated in the order.

V. Conclusion of Purchase Agreement, Reservation of Goods

1. The e-shop presents a list of goods. For each item, the price of the goods, including value-added tax and other related fees, is provided, except for delivery costs. The presentation of goods is informative and does not constitute an offer by the seller to conclude a contract within the meaning of § 1732 paragraph 2 of Act No. 89/2012 Coll., the Civil Code (hereinafter referred to as the "Civil Code"). To conclude a contract, the buyer must submit an order, and confirmation of this order by the seller is required.
2. The buyer may make an offer to conclude a contract in the form of a properly completed and submitted order via the e-shop. The order must contain all the information prescribed in the form, especially the precise designation of the ordered goods, the quantity, the chosen method of payment and delivery, and the buyer's contact details (i.e., delivery and, if different from delivery, billing details). Such an order by the buyer is considered a binding offer to conclude a purchase contract with the seller.
3. Before submitting the order, the buyer is allowed to review the filled-in information and the specification of the selected goods and make changes, taking into account the possibility for the buyer to detect and correct any errors made when entering data into the order. To make the order form valid, it is necessary to fill in all mandatory information, and the buyer must confirm that they have read these terms and conditions.
4. A binding order can be submitted by clicking the "confirm order" button. The order submitted by the buyer is considered a proposal to conclude a contract. The data provided in the binding order is considered correct and complete by the seller. The purchase contract is concluded at the moment of confirmation of acceptance of the order by the seller, which the seller sends to the email address provided by the buyer in the order.
5. Upon receipt of a proposal to conclude a purchase contract, i.e., an order made by the buyer, the seller shall send a confirmation of the order to the buyer's email address, as provided in the buyer's order, in accordance with § 1827 paragraph 1 of the Civil Code. The delivery of such an order confirmation to the buyer constitutes the conclusion of the purchase contract.
6. For each individual order, depending on its nature (especially if it concerns non-standard quantities of goods, non-standard distance of the place of delivery, non-standard total purchase price, etc.), the seller is always entitled to request confirmation of the order from the buyer, whether by phone, email, or in writing. If the buyer refuses to confirm the order in this way, the seller is entitled to cancel the order without further notice.
7. The buyer agrees to the use of distance communication means when concluding a purchase contract. The costs incurred by the buyer when using distance communication means in connection with the conclusion of a purchase contract (costs of internet connection, telephone calls) are borne by the buyer.
8. Until the conclusion of a purchase contract with the seller, the consumer has the right to withdraw from the proposal to conclude a purchase contract with the seller, respectively, to cancel their order by email or telephone without any threat of sanctions.
9. The buyer acquires ownership of the goods by paying the full purchase price of the goods.

VI. Withdrawal from a contract concluded remotely by a consumer

1. If a contract is concluded through means of distance communication, the consumer has the legal right to withdraw from the purchase contract without giving a reason within 14 days from the date of receiving the goods. If the subject of the purchase contract is several types of goods or delivery of several parts, this period for withdrawal runs from the date of receiving the last delivery of goods. If the subject of the purchase contract is regular repeated deliveries of goods, this period for withdrawal runs from the date of receiving the first delivery of goods.
2. In the event of withdrawal from the contract, the purchase contract is cancelled from the beginning. The goods must be returned to the seller within fourteen working days from the dispatch of the withdrawal from the contract to the seller. If the consumer withdraws from the purchase contract, the consumer bears the costs associated with returning the goods to the seller. The goods must be returned to the seller complete, undamaged, and unused, in their original condition, and, if possible, in the original packaging.
3. For the purpose of withdrawing from the contract, the consumer can use the withdrawal form, or they can do so in another suitable manner, which will take the form of a unilateral legal act (e.g., by email, letter, etc.). The withdrawal from the contract in written form should be sent by the consumer to the seller's registered office address.
4. If the consumer withdraws from the contract, the seller shall, without undue delay, no later than fourteen days from the withdrawal from the contract, return to the consumer all funds, including delivery costs, received from the consumer on the basis of the contract, and in the same way as the seller received them. Other means of returning funds can only be used with the consumer's consent, and if this does not result in additional costs to the consumer. The seller is not obliged to return the received funds to the consumer before the consumer hands over the goods or proves that the goods have been sent to the seller.
5. If the consumer has chosen a method of delivery of the goods other than the cheapest method offered by the seller, the seller shall reimburse the consumer for the costs of delivering the goods only to the extent corresponding to the cheapest offered method of delivering the goods.
6. The cost of returning the goods shall be borne by the consumer.
7. Pursuant to § 1837 of the Civil Code, the consumer cannot withdraw from the contract in connection with goods sold in this e-shop, inter alia, if it concerns:
8. 1. goods which have been adapted to the consumer's requirements or for their person,
   2. goods in a sealed package which the consumer has taken out of the package and which cannot be returned for hygienic reasons.
9. The consumer cannot withdraw from the contract without giving a reason if the goods have already been partially consumed, and also in cases where the nature of the goods precludes it, especially for hygienic reasons.
10. The consumer acknowledges that if the goods returned to the seller are damaged, worn or partially consumed, the seller is entitled to compensation for the damage incurred. The seller is entitled to unilaterally set off the claim for compensation for damage against the consumer's claim for a refund of the purchase price.
11. If a gift was provided together with the goods to the buyer, the gift agreement loses its effect upon withdrawal from the contract by either party. In such a case, the buyer is obliged to return the gift to the seller together with the returned goods, provided that the gift does not show signs of use or wear.

VII. Withdrawal from the contract by a buyer who is not a consumer

1. A buyer who is not a consumer does not have the right to withdraw from the contract without giving a reason within 14 days from the receipt of the goods.
2. A buyer who is not a consumer may withdraw from the contract only as a right from defective performance, which is a material breach of the contract under § 2106 of the Civil Code.

VIII. Rights from defective performance

Complaint Procedure

1. The seller is responsible to the buyer for ensuring that the goods are free of defects upon their receipt. In particular, the seller is responsible to the buyer that at the time of receipt of the goods by the buyer:
2. 1. the goods have the qualities which the parties have agreed upon, and in the absence of agreement, they have the qualities described by the seller or the manufacturer, or which the buyer expected with regard to the nature of the goods and based on the advertising they have done,
   2. the goods are suitable for the purpose which the seller indicates for their use, or for which goods of this kind are usually used,
   3. the goods correspond to the agreed quality or design by a sample or template agreed upon, if the quality or design was determined according to the agreed sample or template,
   4. the goods are in the appropriate quantity, measure, or weight, and
   5. the goods comply with legal requirements.
3. The goods are considered defective upon receipt if the defect becomes apparent within six months of receipt.
4. The buyer is entitled to exercise the right from a defect that occurs in consumer goods within twenty-four months of receipt. If the sold item, its packaging, instructions attached to the item, or advertisements indicate a period during which the item can be used, this period shall be considered the period for which the seller undertakes to provide the quality of the goods.
5. If defective performance is a material breach of the contract, the buyer has the right to:
6. 1. removal of the defect by delivering a new defect-free item or by delivering the missing item,
   2. removal of the defect by repairing the item,
   3. a reasonable discount on the purchase price, or
   4. withdrawal from the contract.
7. The buyer shall inform the seller of the chosen right when notifying the defect or without undue delay after notifying the defect. The choice made cannot be changed by the buyer without the consent of the seller; this does not apply if the buyer requests the repair of a defect which proves to be unrepairable. If the seller does not remove the defects within a reasonable period or informs the buyer that the defects will not be removed, the buyer may request a reasonable discount on the purchase price instead of removing the defects, or may withdraw from the contract.
8. If the buyer does not choose the right in time, the buyer has rights as in the case of a minor breach of contract.
9. If defective performance is a minor breach of contract, the buyer has the right to have the defect removed or to a reasonable discount on the purchase price.
10. Until the buyer claims a discount on the purchase price or withdraws from the contract, the seller may supply what is missing or remedy the legal defect. The seller may remove other defects at their discretion by repairing the item or delivering a new item; the choice must not cause the buyer unreasonable costs.
11. If the seller does not remove the defect in time or refuses to remove the defect, the buyer may request a discount on the purchase price or withdraw from the contract. The choice made cannot be changed by the buyer without the consent of the seller.
12. The buyer cannot withdraw from the contract or demand the delivery of a new item if the buyer cannot return the item in the condition in which they received it. This does not apply,
13. 1. if there has been a change in the condition due to an inspection to determine the defect of the item,
    2. if the buyer used the item before discovering the defect,
    3. if the buyer caused the impossibility of returning the item in an unchanged condition by act or omission, or
    4. if the buyer sold the item before discovering the defect, consumed it, or modified the item in normal use; if this was done only in part, the buyer shall return to the seller what can still be returned and shall compensate the seller for the benefit derived from the use of the item.
14. If the buyer does not report the defect of the item in time, the right to withdraw from the contract is lost.
15. Rights from a defect are exercised through a form for withdrawal from the contract, which is available for download on the e-shop website, or through another method which will take the form of a unilateral act directed towards the seller (e.g., letter, email, etc.). The printed form or letter must be sent to the seller's registered office address to assert the right from defects.
16. The seller shall handle complaints without undue delay, but no later than 30 days from the date of the complaint, unless otherwise agreed with the buyer. The date of the complaint shall be deemed to be the day when the seller received the complained goods from the buyer.
17. Rights from defective performance are not granted to the buyer if the buyer knew about the defect before taking over the goods or if the buyer caused the defect themselves or if the defect was caused by a third party other than the seller and without their fault.
18. Warranty and liability claims for defects do not apply to wear and tear caused by use of the goods; defects caused by improper use of the goods, failure to follow instructions, improper maintenance, or improper storage.

IX. Method of Delivery of Goods

1. The seller allows the buyer to choose from the following delivery methods for delivering the ordered goods:

   1. The price for delivery is governed by the current price list.
   2. The buyer chooses the method of delivery when filling out the order form. If the buyer does not choose any method of delivery, the seller may determine it.
   3. The delivery time of the goods always depends on the chosen method of delivery and payment. The seller usually hands over the goods to the carrier within three to five working days from the receipt of the order (when sending goods on delivery), or from the crediting of the payment to the account (when non-cash payment). The seller points out that the delivery time of goods by external carriers cannot be influenced, and any complaints regarding the delivery time must be addressed directly to the carrier. The delivery of the goods according to these terms and conditions means the moment when the goods are delivered to the buyer. If the buyer unreasonably refuses to accept the goods, this fact is not considered as a failure to fulfill the obligation to deliver the goods by the seller, nor as a withdrawal from the contract by the buyer.
   4. If, upon receipt of the goods, the buyer finds a breach of the packaging indicating unauthorized entry into the shipment, the buyer is not obliged to accept the shipment from the carrier. By signing the delivery note (or another similar document), the buyer confirms that the packaging of the shipment containing the goods was intact.
   5. If, for reasons on the part of the buyer, it is necessary to deliver the goods repeatedly or in a different way than agreed, the buyer is obliged to pay the costs associated with such delivery. If the buyer unreasonably fails to accept the goods, the seller is entitled to reimbursement of the costs associated with the delivery of the goods and their storage, as well as other costs incurred due to the non-acceptance of the goods.

   X. Electronic Invoicing

   An invoice is issued to the buyer in the form of a purchase receipt. The seller will send the invoice to the buyer together with the goods in one shipment.

   XI. Other Agreements

   1. Unless otherwise agreed, all correspondence related to the purchase agreement must be delivered to the other contracting party in writing, either by electronic mail, in person, or by registered mail through the postal operator.
   2. The seller is not liable for any injury to persons, property, or goods caused by improper handling or misuse of the goods, or negligence.
   3. By this, the buyer assumes the risk of changing circumstances within the meaning of § 1765 para. 2 of the Civil Code.

   XII. Final Provisions

   1. All agreements between the seller and the buyer are governed by the laws of the Czech Republic. If the relationship established by the purchase contract contains an international element, the parties agree that the contractual relationship is governed by the law of the Czech Republic. This does not affect the consumer's rights arising from generally binding legal regulations.
   2. The seller is not bound by any codes of conduct within the meaning of § 1826 para. 1 letter e) of the Civil Code in relation to the buyer.
   3. All rights to the seller's websites, especially copyright relating to the content including layout of the site, photos, films, graphics, trademarks, logos, and other content and elements, belong to the seller. It is prohibited to copy, modify, or otherwise use the websites or their parts without the consent of the seller.
   4. In the event of an out-of-court settlement of a dispute, the Czech Trade Inspection Authority, ID: 000 20 869, with its registered office at Štěpánská 567/15, 120 00 Prague 2, established by Act No. 64/1986 Coll., on the Czech Trade Inspection Authority, as amended, is the entity for settling complaints by the buyer, which can be contacted through the e-office on the website of the Czech Trade Inspection Authority: http://www.coi.cz. The dispute can also be resolved online through the designated ODR platform, which is available at https://webgate.ec.europa.eu/odr/. The seller recommends that the buyer first contact the seller to resolve the situation before initiating dispute resolution.
   5. These terms and conditions may only be deviated from by mutual agreement and agreed new content of both contractual parties. If a deviation from these terms and conditions arises only from one of the contracting parties without being accepted by the other contracting party, the terms and conditions of the e-shop shall apply.
   6. The seller is entitled to amend or supplement these terms and conditions, but always in accordance with the applicable laws of the Czech Republic. However, this does not affect the rights and obligations arising during the validity of the original version of the terms and conditions. The rights and obligations of the buyer are always governed by the version of the terms and conditions under which they arose.
   7. If any provision of the terms and conditions is invalid or ineffective, or becomes so, the meaning of such provision shall be replaced by a provision that comes as close as possible to the invalid provision. The invalidity or ineffectiveness of one provision does not affect the validity of the other provisions. Amendments and supplements to the purchase contract or terms and conditions require written form.
   8. The terms and conditions of the e-shop come into effect and are effective as of January 1, 2024.

All mentioned personal data have been provided to us by you in the course of our cooperation. 3. Reasons for processing personal data

We process personal data primarily for the legal reason of fulfilling a contract. These are cases where we fulfill a contractual obligation, including related business and financial communication. Furthermore, we process personal data in fulfilling legal obligations arising from the law (accounting, tax obligations, payroll and personnel agenda, providing cooperation to state authorities based on the law). For legal reasons of our legitimate interest, we send newsletters to you as our customers. If you are not our customer and wish to receive newsletters from us, we do so based on your consent.

5. Is the processing of your personal data voluntary?

If you are not our customer, the processing of personal data always occurs based on your consent (for the purpose of sending newsletters or recruiting new employees). In other cases, it is not voluntary processing of personal data, and its legality is based on the legal reasons mentioned above. The issue of the voluntariness of processing personal data within "cookies" is stated in Article 3 of these Principles (last paragraph).
